Acceptance of Terms

By accessing or using the Varsani Capital platform (the “Platform”), you agree to be bound by these Terms of Service (the “Terms”). If you do not agree to these Terms, you must not access or use the Platform. The Platform is a private service available by invitation only. These Terms constitute a legally binding agreement between you and Bhupen Varsani (operating the Varsani Capital platform).

Eligibility

The Platform is a private service available by invitation or referral only and is not open to the general public. It is intended for use by individuals who are at least 18 years of age and have the legal capacity to enter into binding agreements under English law. By using the Platform, you represent and warrant that you meet these eligibility requirements and that you have been invited to use the Platform.

Use of the Platform

Varsani Capital grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose. You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorised access to any part of the Platform, its servers, or any connected systems
• Interfere with or disrupt the integrity or performance of the Platform
• Reverse engineer, decompile, or disassemble any part of the Platform
• Use automated means (bots, scrapers, or similar) to access the Platform without prior written consent
• Transmit any viruses, malware, or other harmful code

User Accounts

To access certain features of the Platform, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Varsani Capital immediately of any unauthorised use of your account.

Varsani Capital reserves the right to suspend or terminate your account at any time if I reasonably believe that you have violated these Terms or if your account poses a security risk.

Intellectual Property

All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, software, and the overall design, are the exclusive property of Varsani Capital and are protected by United Kingdom and international copyright, trademark, and other intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in the Platform or its content beyond the limited licence set out under Use of the Platform.

Financial Information Disclaimer

The Platform may display financial data, portfolio information, and analytical tools. This information is provided for informational purposes only and does not constitute financial advice, investment recommendations, or an offer to buy or sell any securities or financial instruments.

Bhupen Varsani is not authorised or regulated by the Financial Conduct Authority (FCA) as an investment adviser. You should seek independent professional advice before making any investment decisions.

Limitation of Liability

To the fullest extent permitted by law, the Issuer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Platform.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

Indemnification

You agree to indemnify and hold harmless the Issuer from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms or your use of the Platform.

Modifications to the Terms

Varsani Capital reserves the right to modify these Terms at any time. I will notify you of any material changes by posting the updated Terms on the Platform with a revised “Last updated” date. Your continued use of the Platform following such changes constitutes your acceptance of the modified Terms.

Termination

Varsani Capital may terminate or suspend your access to the Platform at any time, with or without cause and with or without notice. Upon termination, your right to use the Platform will immediately cease. Sections that by their nature should survive termination shall remain in full force and effect.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
